										<content:encoded><![CDATA[<p class="p1"><span class="s1">It may be close to Valentine’s Day, but in this case I am talking about business breakups.<span class="Apple-converted-space">  </span>I have seen an increase in the number of people coming to me where they have a business with one or more other individuals, and want to either get out of the business or end the business entirely, and the business partner does not agree in one or more areas. Unfortunately, many of these people have not taken the steps up front to have a written contract with their business partner that addresses how disagreements will be handled, including withdrawals, sales, and dissolving the company. </span></p>
<p class="p1"><span class="s1">The best time to come to an arrangement with your business partners is at the beginning.<span class="Apple-converted-space">  </span>When you are starting your business and everyone is getting along, it is typically much easier to come to a clear consensus on how you want to handle situations down the road.<span class="Apple-converted-space">  </span>If you do not create such an agreement, and you come to an impasse, you can still try to come to an agreement but it can be more difficult after disagreements have already occurred and tempers may be high. In the absence of a written contract, your options are limited to the Oklahoma statutes regarding your particular corporate structure (such as a corporation or a limited liability corporation) which may include going to court to get a resolution, which can include additional time and expense.</span></p>

										<content:encoded><![CDATA[<p style="text-align: left;">A belated Happy New Year! It was a busy 2018 for J. Miller Law Firm and we’re off to a great start for 2019. I wanted to take a moment and highlight some updates and changes that occurred throughout the year and my 2019 goals to serve clients and the community with our legal services.</p>
<p>I expanded options for what is known as limited scope representation. Limited Scope services occur when a client hires a lawyer to complete specific tasks, or a portion of the legal representation. This may include a lawyer drafting documents to be used in court but the client represents himself or herself in court. The lawyer discloses such limited representation on court documents but typically does not appear at any court hearings. The client gets the benefit of legal advice from a licensed attorney at reduced costs from traditional full scope representation. <p>I am very pleased to continue my involvement with the Bixby Metro Chamber of Commerce, and will continue on the Board of Directors in 2019. Also, I am excited to announce that I am again nominated for Woman-Owned Business of the Year, and also for Volunteer of the Year, with those winners to be announced at the end of January.</p>
<p>I continue to participate as a guest speaker on a regular basis on topics such as estate planning as well as business law, employment issues, and mediation. If you would like me to speak at an event or for a group, please feel free to reach out to me. I am also still a volunteer mediator for the Equal Employment Opportunity Commission. If you have a charge pending with the EEOC, you have probably noticed that it is affected by the current government shutdown. You can keep track of any updates with the EEOC on their website by clicking <a href="https://www.eeoc.gov//">HERE</a>.</p>
<p>I was also fortunate to continue to work with a number of wonderful clients this year, and was able to close several probates, worked with individuals and families to complete or update their estate planning needs, settled cases, got businesses formed, businesses bought and sold, and partnered with a number of businesses on an ongoing basis to address their everyday legal needs.</p>
<p>In 2019, I plan to continue all of the above, as well as increasing my work with business owners and how I can assist them in a variety of ways. I am also always looking at technology to work with clients and will be looking at expanding methods of providing virtual services where it makes sense.<br />

										<content:encoded><![CDATA[<p class="p1"><span class="s1">Any time is a great time to address your estate planning needs, but the week of October 14</span><span class="s2"><sup>th</sup></span><span class="s1"> is also National Estate Planning Week!<span class="Apple-converted-space"> </span>Clients often ask me which is “better” a Will, or a Trust, and my answer is “it depends.” When I work with clients on their plans, we discuss their goals, needs, family situation, property, and health, amongst other issues. Many clients prefer a Trust for reasons such as privacy, avoidance of probate, and the ability to provide gifts over time, such as to grandchildren or nieces and nephews. For other clients, a simple Will that will go through probate is what they decide to do based on their needs. For clients with minor children, appointing guardians in a Will is an important decision.</span></p>
<p class="p1"><span class="s1">Planning for the distribution of your property and care of your loved ones after you are gone is not an easy or fun topic, but many clients tell me it is something that has been on their to-do list for months if not years, and they feel so much better after it is completed. My goal is to walk you through the process and help you make a plan that fits your specific needs.</span></p>
